01

About these terms

These terms of use govern your access to and use of shadowvu.com and any page, document or media published on it. By using this website you confirm that you accept these terms and agree to comply with them. If you do not accept them, please do not use the site.

This website is operated by ShadowVu Ltd, a private limited company registered in the United Kingdom. In these terms, “we”, “us” and “our” mean ShadowVu Ltd, and “you” means the person accessing the site. If you are using the site on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

These terms should be read together with our privacy notice, which explains how we handle personal data.

02

Using this website

We grant you a limited, non exclusive, revocable permission to view this website and to print or download extracts for your own internal reference or evaluation, provided you do not alter them and you keep all copyright and trademark notices intact.

You must not

  • Use the site in any way that breaches applicable law or regulation, or for any unlawful or fraudulent purpose.
  • Copy, reproduce, republish, frame, sell, licence or commercially exploit any part of the site without our prior written consent.
  • Scrape, mine, harvest or systematically extract content from the site, or use it to train a machine learning or generative model, without our prior written consent.
  • Introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorised access to the site, the server on which it is stored, or any server, computer or database connected to it, or attack it by any denial of service method.
  • Misrepresent your identity or your affiliation with any person or organisation when contacting us through the site.
  • Submit through the site any material that is classified, export controlled, confidential to a third party, or otherwise restricted from disclosure.

We may suspend or withdraw access to the site, or to any person, at any time and without notice where we consider it necessary. A breach of this section may be a criminal offence under the Computer Misuse Act 1990, and we will report any such breach to the relevant authorities and cooperate with them by disclosing your identity.

03

Intellectual property

We own or are licensed to use all intellectual property rights in this website and in the material published on it, including text, imagery, video, diagrams, page design, layout, look and feel, and source code. Those works are protected by copyright and by design rights. All rights are reserved except as expressly granted in section 02.

Trademarks

ShadowVu® is a UK registered trademark of ShadowVu Ltd, and Quad-Dock™ is a trademark of ShadowVu Ltd. Other names, marks and lockups used on this site, including Click-Fit™, ShadowVu® Everest and ShadowVu® Labs, are marks of ShadowVu Ltd. Nothing on this site grants any licence or right to use any of our marks. You must not use them, or any mark confusingly similar to them, without our prior written consent.

Third party names, logos and marks that appear on this site, including those of ground control software and standards referenced in technical descriptions, belong to their respective owners and are used for identification only. Their appearance does not imply any endorsement, partnership or affiliation unless we state so expressly.

Patents and design rights

Patent applications relating to our airframe and manufacturing technology have been filed and are pending. Design rights in our airframes and tooling are held by ShadowVu Ltd together with the design for manufacture. Publication of an image or description on this site does not place any of that intellectual property in the public domain and does not grant any right to reproduce it.

You must assert our authorship of the material on this site wherever you reproduce it under the permission in section 02.

04

Accuracy and forward looking statements

Accuracy

The content on this site is provided for general information about our organisation, our aircraft and our manufacturing approach. It is not a specification, a datasheet, a warranty, or advice on which you should rely for any particular purpose. Technical figures, performance characteristics, payload capacities and configurations are indicative, are subject to variant, tooling and mission fit, and may change without notice as the platform develops.

Where a figure is described as designed, estimated or a target, it is exactly that: a design intention or an estimate, not a measured or guaranteed result. Where a third party research source is cited, we reproduce the published figure in good faith and we do not adopt or verify it.

We make no representation or warranty, express or implied, that the content of this site is accurate, complete or up to date. Before making any decision, obtain a written specification from us and take your own professional advice.

Forward looking statements

Some statements on this site are forward looking. They include statements about intended production capacity, roadmap, product development, supply chain strategy and market opportunity, and can often be identified by words such as will, plan, intend, expect, target, designed to, or pathway to.

Forward looking statements are not statements of historical fact and are not guarantees of future performance. They rest on assumptions and are subject to risks and uncertainties, many of which are outside our control, including supply chain conditions, component availability, regulatory and export control developments, certification timelines, customer demand and general economic conditions. Actual results may differ materially.

Except as required by law, we accept no obligation to update or revise any forward looking statement, whether as a result of new information, future events or otherwise.

05

No advice and no offer

Nothing on this site constitutes professional, technical, operational, regulatory, financial or legal advice, and it must not be treated as a substitute for advice from a suitably qualified adviser.

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any product, service, security or interest in ShadowVu Ltd, and nothing on it forms part of any contract. Any supply of products or services is made solely under a separate written agreement, whose terms prevail over anything stated here.

06

Product information and export control

Products, components and technical information described on this site may be subject to export control legislation, sanctions and end use restrictions in the United Kingdom and in other jurisdictions. Availability of any product is subject to applicable licences and approvals.

Nothing on this site constitutes an offer to supply, or a commitment to supply, where that supply would be unlawful or would require an authorisation that has not been granted. You are responsible for complying with the export control and sanctions rules that apply to you.

08

Availability of the website

We do not guarantee that this site, or any content on it, will always be available or uninterrupted. Access is permitted on a temporary basis, and we may suspend, withdraw or restrict all or part of the site for business or operational reasons, without notice and without liability.

You are responsible for making all arrangements necessary for you to access the site, and for ensuring that everyone accessing it through your connection is aware of these terms and complies with them. You are also responsible for configuring your own technology and for using your own virus protection software.

09

Limitation of liability

Nothing in these terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any other liability that cannot be excluded or limited under the laws of England and Wales.

To the extent permitted by law, we exclude all conditions, warranties, representations and other terms that might otherwise be implied into these terms by statute, common law or otherwise.

Business users

If you use this site in the course of a business or profession, we will not be liable for:

  • Loss of profits, sales, business, contracts or revenue.
  • Business interruption or loss of anticipated savings.
  • Loss of business opportunity, goodwill or reputation.
  • Loss of or corruption to data or information.
  • Any indirect or consequential loss or damage of any kind.

In particular, we will not be liable for any loss or damage arising from your reliance on content published on this site, or from any virus, distributed denial of service attack or other technologically harmful material that may infect your equipment through your use of this site or of anything downloaded from it.

Consumers

If you are a consumer, this site is provided for domestic and private use only, and we will not be liable for any business loss. These terms do not affect your statutory rights.

10

Privacy, cookies and data protection

We process any personal data collected through this site in accordance with our privacy notice, which explains what we collect, our lawful basis, how long we keep it, who processes it on our behalf, our use of cookies and analytics, and the rights you hold under the UK GDPR. By using this site you confirm that any data you submit is accurate and that you are entitled to provide it.

11

Changes to these terms

We may amend these terms at any time by revising this page. Please check it each time you intend to use the site, because the version in force is the version published here at the time of your use. The date at the top of this page shows when these terms were last revised. We may also update or change the content of the site at any time without notice.

12

Governing law and jurisdiction

These terms, their subject matter and their formation, including any non contractual disputes or claims, are governed by the law of England and Wales.

The courts of England and Wales have exclusive jurisdiction over any dispute or claim arising out of or in connection with these terms or your use of this site. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the United Kingdom in which you live, and the mandatory consumer protection law of that part continues to apply to you.

If any provision of these terms is found to be unlawful, invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force. A delay in enforcing any provision is not a waiver of it.
